Recently, the House of Representatives and the Senate of the Netherlands have approved a legislative proposal to make digital incorporation possible, as an implementation of the EU Directive 2019/1151.

Following the approval, the Dutch Minister for Legal Protection confirmed this week that this new law will enter into force on 1 January 2024.

This legislative change entails that EU residents will be able to incorporate a limited liability company (besloten vennootschap met beperkte aansprakelijkheid, ‘BV’) in the Netherlands by means of a digital notarial deed, with digital identification and a digital signature (with the highest reliability level). The Royal Dutch Association of Civil-law Notaries has already prepared a digital platform for this purpose and it is ready to be used as soon as the law enters into force.
